Foreign Ownership Check
Map your activities to KBLI codes and check them against the Positive Investment List and sector rules, including whether 100% foreign ownership is available.
Integra Law Office helps foreign investors set up a PT PMA — an Indonesian limited liability company with foreign shareholding — in Surabaya. We check whether your business activity is open to foreign ownership, plan capital and ownership, coordinate company formation and OSS licensing, and map the reporting that continues after launch.
A PT PMA setup starts with the proposed business activity, not the incorporation deed. The activity, classified by KBLI code, determines whether foreign ownership is allowed, whether conditions apply, and which licences the company will need.
Surabaya is the commercial centre of East Java, with port access through Tanjung Perak and an established manufacturing, trading and logistics base. Integra Law Office works with foreign-owned companies setting up in the city and across the province.
We review the activity, ownership plan, capital and operating location with you, then coordinate the company-formation and licensing workstreams. Once the company is operating, we can continue with corporate and compliance support.
You want to know whether your business activity is open to foreign ownership, and up to what percentage.
You are planning a 100% foreign-owned company, or a PT PMA with an Indonesian co-shareholder.
You need to plan issued capital and investment value before you commit funds.
You need to organise OSS registration, the NIB and the activity licences for your KBLI codes.
Your foreign directors or staff will need work permits and stay permits once the company exists.
Your PT PMA is already operating and you need to keep LKPM and corporate reporting up to date.
Indonesia's investment framework rests on the Investment Law (UU 25/2007), as amended by the Job Creation Law (UU 6/2023). Under the Positive Investment List (Perpres 10/2021, as amended by Perpres 49/2021), business fields are open to investment unless they are closed or reserved for the Central Government. The regulation also identifies priority fields, fields allocated to or requiring partnership with cooperatives and small businesses, and fields open with conditions such as a foreign ownership limit or a special licence. That is why each activity is checked KBLI by KBLI.
A PT PMA is a limited liability company under UU 40/2007 that is registered through OSS (Online Single Submission) and receives a Business Identification Number (NIB). Two separate requirements apply: the planned investment value per business activity and location, and the company's issued and paid-up capital. Sector rules can set different figures, so counsel checks the current requirements for your exact KBLI codes before you commit capital.
The rules change over time. We record the regulation version we relied on and confirm the classification of your activity before advising on structure.
This page is general information only and is not legal advice. Investment and licensing rules change. The regulations cited were checked on 6 November 2026. Contact us for advice on your situation.
We start with an eligibility check: we map your business activities to KBLI codes and check each one against the Positive Investment List and any sector rules. This shows whether 100% foreign ownership is possible, whether a local co-shareholder is needed, and what capital to plan for — before you commit resources.
For the setup itself, we coordinate the company structure, the deed of establishment, Ministry of Law registration, OSS registration and the NIB, the activity licences, and the handoff to bank account opening and tax registration. Scope and timing are confirmed against your circumstances and the current requirements.
After launch, a PT PMA has ongoing reporting duties, including the quarterly Investment Activity Report (LKPM) filed through OSS. Late or missing LKPM reports can lead to administrative sanctions. We can set up a reporting calendar with your team and take on the filings. Our Indonesian guide to LKPM deadlines, sanctions and late-report fixes is linked below.

In many sectors, yes. Under the Positive Investment List, activities that are not reserved or subject to a foreign ownership limit are open to 100% foreign ownership, which covers much of manufacturing, wholesale trade and many services. Some activities carry a cap or need a special licence, and some are reserved. We check each of your KBLI codes before you decide on the structure.
A PT PMA must generally plan a total investment of more than IDR 10 billion per business activity (5-digit KBLI) per project location, excluding land and buildings. Separately, its issued and paid-up capital must be at least IDR 2.5 billion per company, unless another law sets a different amount. These are two different requirements: the investment value is not the paid-up capital. Statutory exceptions apply to some sectors and activities, and some sectors set their own requirements. We confirm the figures that apply to your activities before you commit capital.
Timing depends on the business activity, how complete your documents are, and which licences the activity needs. We review the scope and dependencies first and then give you a working timeline; we do not promise a fixed period before that assessment.
A PT PMA files a quarterly Investment Activity Report (LKPM) through OSS, alongside its tax filings and corporate records. Missing reports can lead to warnings and, if not fixed, further administrative sanctions. We can set up a reporting calendar or handle the filings for you.
