A defensible PMA structure starts with the business activity and ownership chain, then connects those decisions to licensing, governance, and an exit plan before capital is committed.
For a foreign investor, incorporating an Indonesian company is only the visible part of the work. The harder question is whether the company can conduct its intended activity, obtain the required licences, receive funding, and preserve investor rights without relying on a nominee or an informal side agreement. This guide explains how PMA Structuring Indonesia can be approached as one connected legal and operational exercise.
Before capital is committed, a Foreign Investment Company (PMA) should be tested from four angles: whether the activity is open under the Positive Investment List Indonesia, which Foreign Ownership Limits apply to it, how the rules on Beneficial Ownership Indonesia will be met, and what a PMA Due Diligence review needs to confirm.
Start with the business activity, not the company name
Map the operating model to the correct KBLI
The first review should identify what the business will actually do: manufacture, distribute, provide software, offer consulting, hold assets, or combine several activities. Each activity should be mapped to the most accurate five-digit KBLI before the deed and OSS profile are prepared. A broad commercial description cannot cure a mismatch between the registered KBLI and the activity performed in practice.
The Positive Investment List must then be checked against each relevant KBLI. Perpres No. 10 Tahun 2021 jo. Perpres No. 49 Tahun 2021, particularly Pasal 2, Pasal 6, and the applicable Lampiran, sets the framework for open, priority, partnership-based, conditionally open, and closed business fields. The investor should read the applicable schedule together with any sectoral rule.
Separate ownership eligibility from licensing eligibility
A business may be open to 100% foreign ownership and still require a sector licence, technical approval, local operating standard, or environmental clearance. Conversely, a company may obtain a corporate registration while still being unable to commence the activity. The legal memo should therefore have two separate conclusions: whether the ownership level is permitted and which approvals are required before operations.
- Describe the revenue-generating activity in plain language.
- Map each activity to a KBLI and identify any secondary KBLI.
- Check foreign ownership, partnership, and sectoral conditions.
- List the licence or approval needed for each operating step.
Build an ownership chain that can be explained
Use direct ownership where it is lawful and practical
Nominal percentages in the Indonesian shareholder register are not the entire analysis. Counsel should trace the ultimate owners, funding source, voting arrangements, security interests, and any agreement that affects the exercise of rights. A structure that looks compliant at the first tier may create questions if the Indonesian shareholder is economically controlled by a foreign party or is expected to transfer benefits outside the documented arrangement.
The corporate foundation is also important. UU No. 40 Tahun 2007 provides the corporate framework for the company, its capital, organs, resolutions, and shareholder rights; the articles of association should be checked against Pasal 15, shareholder rights under Pasal 52, and corporate organs under Pasal 92. In practice, the articles, subscription documents, shareholder resolutions, and funding records should tell the same story. PMA Structuring Indonesia is stronger when the legal documents match the commercial deal and the beneficial-owner disclosures.
Document investor protection without bypassing mandatory rules
A shareholders agreement can address reserved matters, information rights, transfer restrictions, deadlock, dividend policy, and exit mechanics. It should not be drafted as a substitute for mandatory corporate procedures. If the agreement requires a board or shareholder action, the company must still follow the applicable quorum, notice, voting, and filing requirements. Protective provisions should be tested against the articles and the actual authority of each corporate organ.
Investors should also decide how additional funding will work. Equity, shareholder loans, convertible instruments, and security arrangements have different tax, licensing, accounting, and enforcement consequences. Under UU No. 25 Tahun 2007, Pasal 5 ayat (2)–(3) and Pasal 12 should be considered alongside the applicable investment and sector rules. The funding plan should be documented before money moves, with clear approval authority and a record of whether the contribution is capital or debt. Where the funding is exposed to currency movements, PMA structuring strategies for rupiah volatility explains how the capital and debt mix can be adjusted to that risk.

Protect governance and beneficial ownership
Make decision rights operational
Investor protection is not limited to a veto list. The company should identify who can sign contracts, open or change bank accounts, hire senior employees, approve related-party transactions, and bind the company to material debt. Delegations should be written, time-limited where appropriate, and reflected in resolutions and internal records. A governance matrix is useful because it exposes gaps before a dispute arises.
Beneficial-owner information should be consistent across the company, notarial records, licensing profile, bank onboarding, and regulatory submissions. Perpres No. 13 Tahun 2018 and the current Permenkum No. 2 Tahun 2025 provide the relevant beneficial-owner identification and reporting framework. A nominee arrangement intended to conceal the real investor can create serious legal and compliance risk under UU No. 25 Tahun 2007 Pasal 33. A transparent structure may require more planning at the start, but it is easier to explain to banks, auditors, regulators, and future buyers.
Plan changes before the first change occurs
Share transfers, new investors, a change of business activity, a new director, or a move of domicile can trigger approvals and updates. The shareholders agreement should state who must consent, what information is required, and which party is responsible for filings. For a regulated sector, the exit plan should be reviewed at the same time as the entry plan because a transfer may be subject to a different approval path.
Use due diligence as a structuring tool
Review the target if acquiring an Indonesian company
An acquisition can be faster than a new incorporation, but it may bring inherited liabilities. Review the target's deed and amendments, shareholder register, beneficial-owner records, KBLI, NIB, sector licences, tax status, employment obligations, contracts, litigation, land or lease rights, and any security interests. Confirm that the company has actually operated within its licensed scope.
For a new PMA, due diligence focuses on the investor and the proposed model. Confirm the source of funds, group approvals, intended signatories, staffing plan, expected customers, premises, and data or technology flows. This prevents the legal team from drafting a structure that cannot support the first commercial contract.
Keep a decision file
Keep a short decision file with the KBLI analysis, ownership chart, regulatory sources, assumptions, approvals matrix, and unresolved questions. This file becomes valuable when a regulator asks why a structure was selected or when the group later adds a product line. It also reduces the risk that a new adviser unknowingly reverses an earlier compliance decision.
90-day implementation plan
Run the workstreams in parallel
| Period | Workstream | Output |
|---|---|---|
| Days 1–15 | Business model, KBLI, ownership chain, and restricted-sector screening | Structure memo and questions list |
| Days 16–30 | Deed, articles, shareholder agreement, funding, and beneficial-owner documents | Draft corporate pack |
| Days 31–60 | Notarial filings, OSS profile, NIB, sector licences, bank onboarding, and premises | Government Regulation No. 28 of 2025 on Risk-Based Business Licensing, including Pasal 4 on PB/PB UMKU and OSS, plus the applicable risk and licensing provisions |
| Days 61–90 | Employment, tax, compliance calendar, contracts, and governance training | Launch-readiness file |
Where risk is high, the group should obtain a written legal conclusion before signing a long lease, paying a non-refundable deposit, or committing to a joint-venture percentage. For the practical sequence that follows, the East Java PMA setup guide covers the decisions that most often delay incorporation.
Integra case study: transparent entry planning
In an anonymized Integra matter, a foreign medical-device principal planned an East Java entry through an onshore PMA with a holding and distribution layer. The team first mapped the product activity and licensing dependencies, then aligned the capital structure, shareholder approvals, BKPM/OSS work, distributor governance, and exit options before incorporation. Client names, transaction values, and identifying dates are withheld; the practical lesson is that sequencing the operating model and approvals reduced rework during bank and licensing onboarding.

Frequently asked questions
Can a PMA be 100% foreign-owned in Indonesia?
It can be, where the relevant business field is open to full foreign ownership and no sectoral rule imposes another condition. The investor must still select the correct KBLI, obtain the required licences, satisfy capital and reporting duties, and ensure that the ownership records reflect the real beneficial owner.
What should investors check before choosing a KBLI?
Investors should describe the actual revenue-generating activity, compare it with the KBLI classification, and check the Positive Investment List and sector rules. They should also identify secondary activities, licensing dependencies, and whether the proposed premises, workforce, and customer contracts are consistent with the selected KBLI.
Does a shareholders agreement replace the articles of association?
No. A shareholders agreement can allocate commercial rights and obligations between its parties, but the company must still comply with mandatory corporate rules, its articles, and valid organ procedures. Key protections should therefore be mirrored or implemented through proper resolutions where the law requires corporate action.
When should beneficial ownership be reviewed?
Beneficial ownership should be reviewed before incorporation, before funding, and whenever shares, control rights, directors, or group arrangements change. The information should remain consistent across corporate, licensing, banking, tax, and regulatory records. A mismatch can delay onboarding and create avoidable compliance questions.
