Governance and rights design
Translate investor and founder priorities into board, information and reserved-matter provisions.
A shareholders’ agreement should make decision rights, funding expectations, transfers and exits workable before disagreements arise. Surabaya founders, family owners and strategic investors should align it with the company’s articles and Indonesian corporate law, rather than relying on a template alone.
An SHA (shareholders’ agreement) is most useful when owners have different roles, contribution levels or time horizons. It can set board nomination rights, reserved matters, information access, transfer restrictions, pre-emption, permitted transfers, deadlock steps and exit arrangements. The clauses should reflect how the company will actually make decisions and fund operations, including what happens when an owner cannot contribute.
Before drafting, confirm the cap table, share classes, articles, existing investment documents, board structure and each shareholder’s commercial objective. A minority investor may prioritize information and consent rights; an operating founder may need day-to-day authority; a strategic partner may focus on reserved matters and transfer restrictions. Overlapping or inconsistent documents create uncertainty about which commitment governs.
A new investor is subscribing for shares and asks for veto or board rights.
Founders contribute different capital, intellectual property, customers or operating work.
Shareholders need a process for future funding, dilution or a defaulting investor.
The company has no agreed path for deadlock, departure, death or a proposed transfer.
An existing SHA conflicts with the company’s articles or a financing document.
UU 40/2007 governs Indonesian limited liability companies, including their organs, share ownership and corporate decision-making. An SHA is a contract among its parties; company-level acts and rights should also be reflected in the articles and implemented through valid corporate procedures where required. Counsel should check whether a proposed restriction or governance mechanism is consistent with mandatory law, the articles, and the way resolutions must be adopted.
A drafting review should distinguish contractual promises among shareholders from rights that must be recorded or implemented at company level. Share transfers may be subject to statutory and articles-based procedures, including possible first-offer or approval requirements. Any dispute clause should identify a workable forum and language, while cross-border parties should review applicable Indonesian-language requirements for agreements involving Indonesian parties.
We map ownership, decision flows and likely points of disagreement, then prepare a clause matrix for client approval before drafting. The matrix covers ordinary operations, reserved matters, funding, transfers, information rights, deadlock and exit, with each right tied to a clear threshold, process and consequence.
We coordinate the agreement with the articles, subscription or investment documents and board procedures. Negotiation focuses on whether each protection is reciprocal, enforceable in practice and compatible with future financing. Final documents include an implementation checklist for corporate approvals, signing, share records and any required filings; business and tax consequences should be checked with relevant advisers.

No. An SHA is generally an agreement among its parties, while the articles are the company’s constitutional document. Some governance or transfer arrangements may need to be reflected in the articles or implemented through formal company action; counsel should check each clause and party.
The parties can negotiate consent rights for defined reserved matters, subject to mandatory law and the company’s governance framework. Drafting should specify scope, quorum, notice and what happens if consent is withheld, so ordinary operations are not unintentionally blocked.
It can define escalation, negotiation, mediation or a carefully designed buy-sell or sale process. Each option has different funding and leverage effects; the mechanism should state triggers, timelines, valuation method and treatment if a party cannot perform, and must be reviewed for legal fit.
They can address minority participation in a sale and a qualifying majority-led exit, but thresholds, notice, price, conditions and liability sharing need careful drafting. These rights should be consistent with transfer procedures in the articles and should not be treated as automatic substitutes for required corporate steps.
