SURABAYA, September 22, 2026 – Integralaw acted as legal counsel for PasPoto, an AI-based formal photo platform, in its expansion into the Business-to-Business (B2B) segment and the preparation of a Rp500 million pre-seed funding round. The funding is structured through a convertible note instrument with a Rp10 billion valuation cap, a 4 percent annual interest rate, and a 24-month term.
Integralaw’s corporate team provided legal counsel to PasPoto across various aspects of its business expansion and funding preparation. This included structuring the convertible note instrument, drafting the pre-seed funding documentation, and preparing the legal framework to support PasPoto's transition from a Business-to-Consumer (B2C) model to a B2B white-label model. This counsel was designed to ensure that PasPoto's legal readiness aligns with its business development, including planned partnerships with digital print shops, photo studios, schools, universities, corporations, and other institutional clients.
PasPoto provides AI-based formal photo services, generating ID photos, marriage certificate photos, national ID (KTP) photos, passport and visa photos, as well as professional headshots from a single image upload. The average processing time is under one minute, with public service prices starting at Rp19,000. After establishing a self-serve B2C model, PasPoto is now expanding its business through B2B white-label services and an online-to-offline distribution model via its PasPoto Print Partner (Mitra Cetak PasPoto) network.
The proceeds from the pre-seed funding, aimed at supporting growth over the next 12 to 18 months, will be allocated toward testing paid marketing channels, developing growth capacity, collaborating with content creators, enhancing creative capabilities, strengthening AI and SaaS infrastructure, and fulfilling the company's legal and administrative requirements. Based on unaudited internal company data, PasPoto has processed approximately 17,000 photos with an estimated monthly gross profit of around Rp3 million; these figures represent internal company estimates and remain unaudited.
